Aquila major shareholder Tony Poli accepts offer and bidders satisfy minimum acceptance condition
We refer to the joint takeover offer by Baosteel Resources Australia Pty Ltd (ABN 66 154 815 362) and Aurizon Operations Limited (ABN 47 564 947 264) (together, the Bidders) to acquire 100% of the ordinary shares in Aquila Resources Limited (ABN 81 092 002 769) (Aquila) that they do not already own for A$3.40 per share (the Offer).
The Bidders are pleased to announce that Aquila's major shareholder, Mr Tony Poli, has accepted the Offer for his entire 28.92% relevant interest in Aquila shares.
The Bidders' relevant interest in Aquila shares has now increased to 52.69% (equivalent to 216,961,428 Aquila shares), so that the minimum acceptance condition to the Offer (that during or at the end of the Offer period the Bidders and their associates together have a relevant interest in more than 207,772,064 Aquila shares) has been satisfied.
The Offer is open now for acceptance and the Bidders encourage you to ACCEPT now.
The Bidders attach, in accordance with section 630(4) of the Corporations Act 2001 (Cth), a formal notice in relation to the fulfilment of the defeating condition in section 12.7(a) of the Offers ('Minimum Acceptance Condition')
